End-User License Agreement Noisebud End-User License Agreement (EULA) Version 2026.2 Last updated: October 8, 2026 This End-User License Agreement ("Agreement") is a legal agreement between you (the "User") and Noisebud, operated by Saintpid Mastering ("Noisebud"), regarding your installation and use of Noisebud's downloadable software products (the "Software"). By downloading, installing, registering, or using the Software, you agree to be bound by this Agreement. If you do not agree to these terms, do not install or use the Software. Nothing in this Agreement limits any rights or remedies that cannot lawfully be limited or excluded under applicable consumer law. 1. DEFINITIONS "Software" means any downloadable Noisebud digital product, including but not limited to VST3 plugins, audio software, scripts, WordPress plugins, related documentation, models, components, and updates provided by Noisebud. "License" means the right granted by Noisebud to install and use the Software under this Agreement. "Permanent License" means a license that remains valid indefinitely, subject to this Agreement. "Subscription Access" means access granted while the User meets the requirements of an active qualifying subscription, such as an eligible paid Patreon membership. "Trial Version" means a time-limited version that provides access to some or all features for evaluation before the trial period expires. "Demo Version" means a restricted version of the Software that may include functional limitations, interruptions, noise, or other restrictions. "NFR Version" ("Not For Resale") means a version provided for testing, review, evaluation, development, promotional, or similar purposes and which may be subject to additional restrictions. 2. GRANT OF LICENSE Subject to the applicable license type and this Agreement, Noisebud grants the User a non-exclusive, non-transferable license to install and use the Software on computers the User personally owns or controls. Unless otherwise stated for a particular product, the User may install the Software on multiple computers, provided the license is used only by the licensed User and is not shared with other persons. The Software and all associated intellectual property remain the property of Noisebud and its licensors. The User receives a license to use the Software, not ownership of the Software itself. 3. LICENSE TYPES AND ACCESS 3.1 Permanent License A Permanent License grants the User the right to continue using the licensed Software indefinitely, subject to this Agreement. A Permanent License may be obtained through a direct purchase, Noisebud Credits, or another method explicitly stated by Noisebud. Unless otherwise stated for a particular product, updates within the same major version are included with a Permanent License. A future major version may require a separate license or upgrade purchase. A Permanent License is not dependent on an active Patreon subscription or other subscription once it has been granted. 3.2 Subscription Access Users with an active qualifying paid Patreon membership, or another qualifying subscription explicitly offered by Noisebud, may receive full access to the Software covered by that subscription. Subscription Access remains valid only while the qualifying subscription or entitlement remains active. When the qualifying subscription ends, Software that is not covered by a Permanent License may return to Demo mode or otherwise lose full functionality. Ending a subscription does not remove any Permanent Licenses already acquired by the User. 3.3 Free or Follower Access Noisebud may make selected products available at no charge or provide full access to selected products for eligible followers or account holders. Such access applies only to products explicitly identified as eligible for that type of access and may be subject to separate conditions stated for the product. 3.4 Trial and Demo Versions Noisebud may provide a Trial Version before a Permanent License or other full entitlement is acquired. Unless otherwise stated for the product, trial eligibility, duration, and activation are determined by the User's Noisebud account and the specific product. When a trial expires, the Software may automatically enter Demo mode unless the User has another valid entitlement that grants full access. Demo Versions may contain limitations or periodically introduce audible noise or other interruptions. Such behavior is an intentional restriction of the Demo Version and is not a defect in the Software. 3.5 NFR Versions NFR Versions may be used only for the purpose for which they were supplied. Unless Noisebud expressly permits otherwise in writing, an NFR Version may not be sold, transferred, sublicensed, or used as the basis for resale or commercial distribution. 4. REGISTRATION AND LICENSE VERIFICATION Some Noisebud products require registration or periodic verification of the User's entitlement. Registration may require the User to sign in to or identify a Noisebud account using a verified email address. The User is responsible for providing accurate account information and for keeping account credentials secure. Noisebud may use account, product, license, trial, subscription, and entitlement information to determine whether the Software should operate in full, trial, demo, or another applicable mode. A registration reset or local re-registration does not remove the User's Permanent Licenses, qualifying account entitlements, or previously consumed trial periods. 5. RESTRICTIONS Except where permitted by mandatory law, the User may not: - copy, share, distribute, sell, rent, lease, lend, or otherwise make the Software available to another person; - transfer or sublicense a License without prior written permission from Noisebud; - make the Software available through a shared account, public computer system, software repository, download service, or similar distribution method; - reverse engineer, decompile, disassemble, bypass, or modify the Software except to the extent such activity is expressly permitted by applicable law; - circumvent or attempt to circumvent registration, license verification, subscription verification, trial limitations, Demo restrictions, copy protection, or other technical protection measures; - remove or alter copyright, trademark, license, or ownership notices contained in the Software; - use an NFR, Trial, or Demo Version contrary to the restrictions applicable to that version. Unauthorized distribution or deliberate circumvention of the licensing system constitutes a material breach of this Agreement. 6. LICENSE TRANSFER Licenses are personal to the licensed User and may not be transferred, sold, or sublicensed without prior written permission from Noisebud. Nothing in this section restricts rights that cannot lawfully be restricted under applicable law. 7. UPDATES, UPGRADES, AND COMPATIBILITY Noisebud may release maintenance updates, feature updates, new versions, or major upgrades. Unless otherwise stated for a particular product, updates within the same major version are included for holders of a Permanent License. Major upgrades may require a separate purchase or entitlement. Subscription users receive access to versions covered by their active subscription while that entitlement remains active. Noisebud may discontinue development or support of older versions. This does not affect mandatory rights or obligations concerning updates, conformity, security, or remedies that apply under consumer law. Changes in operating systems, plugin hosts, hardware, third-party software, or industry standards may affect compatibility. Noisebud does not guarantee indefinite compatibility with future third-party systems unless such an obligation follows from applicable law or an express product commitment. 8. DELIVERY AND ACCOUNT ACCESS Software and licenses are normally delivered electronically. The User is responsible for maintaining reasonable backups of installers, presets, projects, and other local files. Where downloads or licenses are made available through My Noisebud or another Noisebud account service, access may depend on the continued availability of that service. Nothing in this section limits Noisebud's obligations under applicable consumer law regarding delivery, conformity, updates, or remedies. 8.1 Purchases through Creem Where checkout identifies Creem as the seller, Creem (Armitage Labs OÜ) acts as merchant of record and contractual reseller. Creem handles payment, invoicing, applicable sales taxes and payment refunds. Noisebud remains responsible for software delivery, licensing, functionality and product support. Creem's Buyer Terms apply to that purchase and prevail over conflicting product-specific terms, subject always to mandatory consumer law: https://www.creem.io/buyer-terms For product, delivery, license or refund requests, contact info@noisebud.com. Creem payment refunds are processed through Creem, not paid separately by Noisebud. Unresolved purchase issues may also be raised with Creem at https://www.creem.io/contact or support@creem.io. This section applies only to purchases actually made through Creem. It does not describe Patreon membership payments or imply that Creem checkout is currently available for every Noisebud product. 9. CONSUMER RIGHTS AND CONFORMITY Consumers may have mandatory statutory rights concerning digital content and digital services. For consumers covered by Swedish consumer law, the Software must conform to the agreement and to the mandatory requirements applicable to digital content and digital services. Statutory remedies may include correction, replacement, price reduction, termination of the contract, repayment, or damages where the legal requirements for those remedies are met. Noisebud's contractual terms, product descriptions, warranty statements, and technical limitations do not replace or reduce mandatory consumer rights. Where mandatory law provides a longer responsibility period or additional rights than this Agreement, the mandatory law applies. 10. RIGHT OF WITHDRAWAL FOR DIRECT CONSUMER PURCHASES For eligible consumer purchases made directly from Noisebud through an online sales interface, Noisebud allows the applicable statutory 14-day withdrawal period to remain available even when access to the Software is provided immediately, unless different terms are clearly stated before purchase and are permitted by law. Information about the right of withdrawal, how to exercise it, and any applicable online withdrawal function is provided as part of the sales process and/or through My Noisebud. If a purchase is validly withdrawn, the User must stop using the Software and Noisebud may revoke the corresponding Permanent License or other paid entitlement. Refunds and other consequences of withdrawal are governed by the applicable Terms of Sale and mandatory consumer law. 10.1 Purchases from a reseller Section 10 above concerns purchases directly from Noisebud. For a purchase from Creem or another identified reseller, consult the seller's buyer terms and the refund policy disclosed before checkout. Mandatory consumer rights remain unaffected. Any additional refund promise made for that purchase must also be honoured in accordance with applicable law. Accepting this software EULA or installing the Software does not by itself constitute express consent to immediate delivery and acknowledgement of loss of a statutory withdrawal right. Any required consent and acknowledgement must be obtained separately in the purchase process. This Agreement does not impose a blanket no-refund rule. 11. DISCLAIMER FOR NON-CONSUMER USE For Users acting in the course of a business, profession, or commercial activity, and to the maximum extent permitted by law, the Software is provided "as is" and "as available". Noisebud does not warrant that the Software will be uninterrupted, error-free, compatible with every system, or suitable for every particular purpose. This section does not apply to the extent that a warranty, remedy, or liability cannot lawfully be excluded or limited. 12. LIMITATION OF LIABILITY Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited, including mandatory rights and remedies available to consumers. For Users acting in the course of a business, profession, or commercial activity, and to the maximum extent permitted by law, Noisebud shall not be liable for indirect, incidental, special, or consequential loss, including loss of profits, revenue, business opportunities, or data. For such non-consumer Users, Noisebud's total aggregate liability arising from the affected Software shall not exceed the amount paid by the User for that Software or the relevant access during the twelve months preceding the event giving rise to the claim, unless a higher liability is required by law. 13. DATA PROTECTION AND PRIVACY Noisebud processes personal data for purposes including account administration, registration, licensing, entitlement verification, purchases, customer support, account security, bookkeeping, tax compliance, and other legal obligations. Personal data is processed in accordance with Noisebud's Privacy Policy, which explains what information is collected, the purposes and legal bases for processing, applicable retention periods, relevant service providers and data recipients, and the User's rights under applicable data-protection law. The Privacy Policy is made available through Noisebud's website and/or My Noisebud. For purchases through Creem, its processing of personal data is also described in its Privacy Notice: https://www.creem.io/privacy. This Agreement does not require the User to give general GDPR consent for processing that is necessary to perform a contract or comply with a legal obligation. 14. TERMINATION A Permanent License remains valid indefinitely unless terminated in accordance with this Agreement or as otherwise permitted by law. Noisebud may terminate or suspend a License or entitlement if the User commits a material breach of this Agreement. Where reasonably appropriate, Noisebud will provide notice and an opportunity to remedy the breach before termination. Noisebud may act immediately in cases involving deliberate unauthorized distribution, license-system circumvention, fraud, or other serious misuse. Termination of Subscription Access because a qualifying subscription has ended is not termination of a Permanent License. Upon valid termination of a License, the User must stop using the affected Software and delete copies that the User is no longer entitled to use. Nothing in this section limits mandatory consumer rights. 15. GOVERNING LAW AND DISPUTES This Agreement is governed by Swedish law. If the User is a consumer, this choice of law does not deprive the User of mandatory protections that apply under the law of the country where the User habitually resides. Nothing in this Agreement restricts any mandatory right concerning jurisdiction or the forum in which a consumer may bring or defend a claim. The parties should first attempt to resolve disputes directly and in good faith. Any dispute that cannot be resolved directly may be brought before a competent court or another dispute-resolution body where applicable. 16. INTELLECTUAL PROPERTY All copyrights, trademarks, product names, graphics, source code, object code, algorithms, documentation, and other intellectual property rights in or relating to the Software remain with Noisebud or the applicable rights holder. No rights are granted except the limited rights expressly stated in this Agreement. 17. THIRD-PARTY COMPONENTS The Software may include or interact with third-party libraries, frameworks, models, services, or other components. Third-party components may be subject to their own licenses or notices. Where those terms apply, they form part of the conditions governing the relevant third-party component and prevail over this Agreement to the extent required by the applicable third-party license. 18. LANGUAGE This Agreement is written in English. Translations may be provided for convenience. To the extent permitted by law, the English version is the controlling version in the event of an inconsistency. This does not limit mandatory rights concerning contract language or consumer information. 19. CHANGES TO THIS AGREEMENT Noisebud may update this Agreement for future versions, future purchases, or future access arrangements. Changes do not retroactively remove rights already granted under a Permanent License or reduce mandatory consumer rights. Where applicable law requires notice or consent for a change affecting an existing contractual relationship, Noisebud will comply with those requirements. 20. ENTIRE AGREEMENT This Agreement governs the User's license to install and use the Software. Purchase terms, payment, refunds, withdrawal procedures, and other sales terms may also be governed by separate Terms of Sale presented before purchase. Processing of personal data is further described in the Privacy Policy. If there is a conflict between this Agreement and mandatory applicable law, the mandatory law prevails.
